Terms of Service

By creating a ZemKit account or using the service, you agree to these terms. If you're accepting on behalf of a company, you're confirming you have the authority to bind that company. If you don't agree, don't use the service.

You need an account to use most of ZemKit. You're responsible for keeping your login credentials safe and for everything that happens under your account.

Tell us right away at contact@zemkit.com if you suspect unauthorized access.

ZemKit is offered on monthly and annual subscriptions. Subscriptions renew automatically unless you cancel before the renewal date. You can cancel from your dashboard at any time — cancellation takes effect at the end of the current period.

Usage above your plan's included allowances is billed as overage at the rates listed on our pricing page. You can set hard caps to prevent overages.

All fees are exclusive of taxes. We accept payment in USD via the payment methods offered in the dashboard. Invoices are available on Growth and Partner plans.

We may adjust pricing with at least 30 days' notice. Price changes take effect at your next renewal.

You may not use ZemKit to:

• Break the law, or help someone else do it — including spamming, phishing, fraud, or harassment.
• Impersonate a person, business, or government body in a way designed to deceive.
• Provide advice in regulated fields (medical, legal, financial) without the appropriate qualifications and disclosures.
• Send unsolicited automated calls or messages that violate telecom or messaging regulations in your jurisdiction.
• Circumvent, disable, or interfere with security or rate-limit features of the service.
• Reverse engineer or scrape the service, except as expressly permitted by law.

We may suspend or terminate accounts that violate this section — usually with notice, but immediately for severe violations.

You own the content you upload to ZemKit — your knowledge base, your recordings, your conversations. You give us a limited license to store, process, and transmit that content strictly to run the service on your behalf.

You are responsible for having the right to use the content you upload — including copyright, consent to record calls where required, and appropriate notices to your end-users.

We do not use your content to train our own foundation models or improve models for other customers.

ZemKit — the platform, brand, software, and documentation — belongs to us. We grant you a limited, non-exclusive, non-transferable right to use it for the term of your subscription. Nothing in these terms transfers ownership of ZemKit's intellectual property to you.

ZemKit integrates with third-party services — calendars, telephony providers, messaging platforms, LLM providers. Your use of those services is governed by their terms and privacy policies, not ours. We're not responsible for third-party services, but we do our best to only work with providers we trust.

ZemKit is provided "as is". We work hard to keep the service reliable, accurate, and secure, but we can't guarantee it will be uninterrupted, error-free, or that its output will always be correct.

AI-generated responses are probabilistic. You should review your agent's behavior and set guardrails appropriate to your use case. ZemKit is not a substitute for professional advice.

To the fullest extent allowed by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages arising from these terms. Our total liability for any claim will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.

You agree to defend and indemnify ZemKit against claims arising from your misuse of the service, your violation of these terms, or your infringement of a third party's rights (including through the content you upload).

You can close your account at any time from the dashboard. We may suspend or terminate your account for material breach of these terms, non-payment, or extended inactivity.

On termination, we delete your data within 30 days, except where retention is required by law. You can export your data before you close your account.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.

We may update these terms occasionally. Material changes will be announced at least 30 days before they take effect. Continuing to use ZemKit after that means you accept the updated terms.
